[ Editor’s Note ]

Welcome to the twelfth edition of The Consolidation. The fortnight belonged to the preferred stack again: Strive passed MARA for fourth place on 6,133 BTC bought in nine days, funded the second leg with $369.2 million of warrant exercises, and priced an upsized $630 million 15% SATS preferred at $90, while Strategy raised its digital credit repurchase authority to $3.0 billion and retired another $193.1 million of STRC. Custody and market structure ran close behind: Ledger described seed-stealing implants in resold devices, MSCI finalized rules that put non-operating treasury companies at risk of index exclusion, and Coinbase published its post-quantum migration priorities. As always, we welcome your feedback as we refine future editions.

Strive adds 6,133 BTC in nine days, passes MARA for fourth, and prices an upsized $630 million SATS preferred

6,133 BTCAdded Oct 5-13 · Two Purchases
35,595 BTCHoldings · 18 Ahead of MARA
$630MSATS Preferred · 7M Shares at $90

Why it matters: Strive bought 3,311 BTC at about $84,500 between October 5 and 9, then 2,822 BTC at about $83,266 on October 12 and 13, taking holdings to 35,595 BTC, 18 coins ahead of MARA. The second leg was funded as holders exercised the remaining traditional warrants for $369.2 million in expected gross proceeds, bringing aggregate participation to 94%. SATA's $100 minimum issuance price is now binding in its governing documents. On October 15, Strive priced 7 million shares of a new 15% fixed-rate SATS preferred at $90, upsized from 5 million, for about $630 million gross, with settlement on October 20. Sentiment: Saylor said Strive is turning demand for ASST and SATA into demand for bitcoin. CryptoSlate and others focused on the growing preferred dividend obligation. Cole still says Strive could finish 2026 as the second-largest public holder.

Strategy raises its preferred buyback authority to $3 billion and retires another $193 million of STRC

267 BTCBought Oct 12-18 · $82,900 Avg
$193.1MSTRC Retired · 1,938,780 Shares
$3.0BBuyback Authority · $1.16B Available

Why it matters: Strategy bought 267 BTC for $22.1 million between October 12 and 18, an average of $82,900, funded almost entirely with $22.0 million of MSTR ATM proceeds. Holdings are now 848,517 BTC at an aggregate cost of $64.02 billion, or $75,446 per bitcoin. It also repurchased 1,938,780 STRC shares for $193.1 million, an implied price near $99.60, and the board raised the digital credit repurchase program from $2.0 billion to $3.0 billion, leaving $1.16 billion available. No preferred was sold. USD Cash fell to $447.3 million and the USD Reserve stood at $4.83 billion after funding $45.5 million of preferred dividends. Across the two weeks Strategy bought 517 BTC and retired $385.5 million of STRC; the remaining authority is now about 2.6 times USD Cash, and USD Cash covers a little over two weeks of buybacks at the current pace. Earlier filings show STRC repurchases funded with MSTR proceeds, and they say any bitcoin sold to fund buybacks would go through the BTC Monetization Program. Sentiment: K33 analysts warned that rising STRC dividend obligations mean the preferred model may ultimately cost Strategy bitcoin. Prediction-market pricing is consistent with STRC reaching $100 by year-end. Shareholders vote on daily dividends on October 28.

Ledger says organized crime group planted seed-stealing implants in resold devices

$86MEstimated Drained · Specter
~$120MJuly Coldcard Losses It Follows
2 VendorsReseller Lists Cut · Ledger, Trezor

Why it matters: Ledger said a highly organized group bought genuine devices, installed hardware implants that capture recovery phrases, and put them back on the market through resellers, starting with Malaysia-based CryptoBilis. On-chain investigator Specter estimates about $86 million drained. Ledger has not confirmed a total and says its chip, operating system and servers were not compromised. Authorized resellers in Southeast Asia and Hong Kong have suspended sales, and Trezor is cutting its own reseller list. The attack follows July's Coldcard losses of close to $120 million. Sentiment: early on, Changpeng Zhao called it a supply-chain attack localized to one vendor. Ledger's later statement describes a broader, coordinated operation. A widely shared take on X is that nobody had to break Bitcoin's cryptography this year: Coldcard failed at seed generation and Ledger at distribution.

MSCI finalizes rules that put Strategy and Metaplanet at risk of index exclusion

Nov 11Affected List Published
Nov 30Changes Effective After Close
$2.8BJPMorgan Est. Passive MSTR Selling

Why it matters: MSCI said on October 15 that “non-operating companies” will be ineligible for its Global Investable Market Indexes. The rule replaces the interim freeze on companies whose digital assets make up at least 50% of total assets. Companies that fail a core screen for operating assets are tested against five financial ratios and become ineligible if they meet four or more. MSCI publishes the affected list on November 11, and changes take effect after the close on November 30. A May simulation flagged Strategy, Metaplanet and Yellow Cake, and SharpLink could also be caught. JPMorgan estimates exclusion could force about $2.8 billion of passive selling in MSTR. Sentiment: in its consultation response, Strategy called the proposal misguided and argued it is the earlier digital-asset exclusion under a new name. Saylor has called it discriminatory. TFTC flagged copycat screens at S&P Dow Jones Indices or FTSE Russell as the bigger risk to watch.

Chainalysis: U.S. becomes a net importer of bitcoin for the first time since 2022

2.67M BTCExchange Balances · From 2.8M in Feb
-2.2%U.S. Crypto Economy, 2026
2022Last Year the U.S. Net Imported

Why it matters: Chainalysis found that U.S. institutions bought bitcoin in 2026 while retail largely sold. The U.S. share of global bitcoin activity has risen in every reporting period since spot ETFs launched, even as the U.S. crypto economy contracted 2.2%. Separately, CryptoQuant data shows exchange balances down to 2.67 million BTC from 2.8 million in February. Sentiment: constructive for the supply thesis. The pushback is that falling exchange balances have not yet carried price through overhead supply.

Coinbase, custodian of about 5% of bitcoin, says post-quantum migration should start now

~5%Of Bitcoin in Coinbase Custody
6.9M BTCIn Addresses With Exposed Keys
1-of-2Phased Spend Path During Transition

Why it matters: Coinbase published its priorities for Bitcoin's quantum transition: a flexible output design in the spirit of BIP-360, a phased 1-of-2 path that lets the same funds be spent with either a classical or a quantum-resistant key during the transition, compatibility with MPC custody, and a separate track for the roughly 6.9 million BTC in addresses with exposed public keys. The same week, a university research team demonstrated a working post-quantum design for Lightning. Sentiment: COIN traded down about 5% midweek, in coverage that linked the move to the post. Charles Edwards argued on BMTV that a credible fix could be an upside catalyst.

Metaplanet raises ¥52 billion in zero-coupon converts to refinance bitcoin-backed loans and buy back stock

¥52B2031 Euro-Yen Converts · No Coupon
$329MApproximate Dollar Total
44,000 BTCHoldings Unchanged

Why it matters: The 2031 euro-yen convertible bonds total about $329 million and carry no coupon. About ¥23.6 billion repays Bitcoin-collateralized borrowings in November, and up to ¥28.3 billion funds buybacks under a new ¥60 billion authorization. None of the proceeds buy bitcoin, and holdings stay at 44,000 BTC. The deal swaps secured, interest-bearing debt for unsecured paper and retires shares while the stock trades below the value of its bitcoin. Sentiment: shares closed 1.5% lower on the day and are down about 53% over twelve months. The market reads the deal as an mNAV defense. The trade-off is dilution if the bonds convert.

[ Part 02 · News Commentary ]

Our view on the preferred stack.

[ Capital Structure ]

Two ways to run a digital credit book: defend the senior near par, or open a junior channel priced for risk.

$90SATS Priced · 16.7% Current Yield
~$290MStrive Preferred Bill Per Year
$2.54SATA Assets Per $1 Preferred · Est.

A par-pegged preferred can only be issued cleanly near par, and both SATA and STRC sat just under $100.12

Strategy is closing the gap with cash. It has bought back about $1.6 billion of STRC since late July, including $192.4 million last week at roughly $99.58, and it has not sold new STRC since May. The result is a security within cents of par, with $354.8 million of buyback authority left and USD Cash down to $640.5 million. Bitcoin purchases were 250 BTC.2

Strive opened a second channel. With SATA's $100 issuance floor now written into its charter, Strive launched a junior security that can be sold at a discount. SATS pays a fixed 15% on a $100 stated amount and was priced at $90, a 16.7% current yield at issue. A $22.50 per share reserve covers 18 months of dividends, about $157.5 million across 7 million shares. The deal was upsized 40% in a week when bitcoin dipped below $80,000 and spot ETFs saw net outflows.13

The cost is real. By our math, SATA's roughly $1.4 billion notional at 13% plus SATS's $700 million stated amount at 15% puts Strive's preferred bill near $290 million a year before further issuance. The structure also helps the senior holder. Because SATS ranks behind SATA, every bitcoin bought with SATS money adds to the assets covering SATA. Bitcoin Treasuries estimated before the upsize that SATA's coverage rises from $2.18 to $2.54 of assets per $1 of preferred.14

What this shows is a capital stack that is starting to tranche. Senior paper is defended near par, junior paper is priced for risk, and buyers choose where to sit. That is the framework behind UTXO's Structured Digital Credit research.5

[ Part 03 · Macro & On-Chain Outlook ]

Our view on macro and the Bitcoin market.

[ Macro & On-Chain ]

Bitcoin gave back its early-October gains as ETF flows turned negative, while the on-chain structure held.

$79,805Oct 15 Low · Before The Bounce
-$830MSpot ETF Flows · Oct 5-15
$81,500Glassnode ETF Cost Basis

After trading above $87,000 on October 2, bitcoin spent the past two weeks giving back its early-October gains. It slid on oil and rate fears and the hot CPI and PPI prints, touching $79,805 on October 15 before recovering to about $82,000, roughly 35% below last October's $126,080 high.12

ETF flows turned negative. Spot funds shed about $830 million from October 5 through 15, including roughly $730 million on October 7 and 8. That leaves October about $535 million negative after a $2.6 billion September. Cumulative net inflows are near $57.0 billion, and assets are near $105.7 billion.3

On-chain structure is holding. Glassnode puts the ETF cost basis near $81,500. Price dipped below it on October 8 and 13 and closed above it both times, with the True Market Mean near $78,000 underneath. Long-term holder loss-taking has dried up, and exchange balances keep falling. Resistance is just as clear: buyers from six to twelve months ago break even near $88,000, and buyers from one to two years ago near $100,000.4

Corporate buying is concentrated in fewer names but larger in size. Strive added 6,133 BTC and raised $630 million of new preferred. Strategy bought 250 BTC and spent its cash on STRC. Metaplanet is refinancing rather than buying. The White House says it is securing existing reserve coins before adding any. The next confirmations we are watching are the October 28 Fed decision and a daily close above $88,000.5
